Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Shenzhen Yaoxin Technology Co., Ltd. ("FBEE", "we", "us"), a company organized under the laws of the People's Republic of China, governing your access to and use of https://fbee.shop (the "Site") and any purchase you make through it.

By placing an order or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and legally capable of entering into a contract. If you are using the Site on behalf of a business, you represent that you have authority to bind that business.

2. Products, Descriptions, and Availability

2.1 We describe our products as accurately as we reasonably can. Colors, textures, and scale may appear differently across screens and devices, and product photography is representative rather than exact. Minor variation is not a defect.

2.2 All products are subject to availability. We may limit quantities, discontinue items, or refuse an order where stock is insufficient or an error is apparent.

2.3 Pricing errors. Prices, descriptions, and availability may contain errors. If we discover a material pricing error before your order ships, we will contact you with the corrected price and give you the option to proceed or cancel for a full refund. We are not obligated to honor an obviously incorrect price.

2.4 Prices are shown in U.S. dollars (USD) and exclude sales tax, which is calculated at checkout based on your shipping address.

3. Orders and Acceptance

3.1 Your order is an offer to buy, not a binding contract. Our order confirmation email acknowledges receipt; acceptance occurs when we ship the product, or when we send a separate acceptance notice.

3.2 We may refuse or cancel any order, including where: the product is unavailable; we suspect fraud, resale, or abuse; the shipping address cannot be verified; or the order results from a pricing or technical error. If we cancel after payment, we refund the full amount to the original payment method.

3.3 You are responsible for providing accurate shipping information. We are not responsible for orders delivered to an address you supplied incorrectly, though we will help you file a carrier claim where possible.

4. Payment

4.1 Payment is processed at checkout by our payment processor. By submitting payment information, you authorize us (through the processor) to charge the total order amount, including tax and shipping.

4.2 We do not store full card details. See our Privacy Policy.

4.3 If a charge is reversed, disputed, or fails, we may suspend fulfillment and recover the product or its value, plus any chargeback fee we incur.

4.4 Sales tax is collected where we are legally required to do so. You are responsible for any duties or import taxes levied by your jurisdiction on imported goods — see our Shipping Policy.

5. Shipping, Risk, and Title

Risk of loss passes to you upon delivery to the carrier, subject to our Shipping Policy and any statutory rights that cannot be excluded. Title passes upon full payment. Delivery estimates are estimates, not guarantees.

6. Returns and Refunds

Returns are governed by our Refund & Return Policy, which forms part of these Terms. Where mandatory consumer law in your jurisdiction provides stronger rights, those rights prevail.

7. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose, or in violation of any applicable law;
  • Attempt to gain unauthorized access to the Site, other users' accounts, or our systems;
  • Use automated means (scrapers, bots, crawlers) to access the Site except for standard search-engine indexing;
  • Interfere with the Site's operation, including via denial-of-service attacks or malicious code;
  • Resell products purchased from the Site as authorized inventory without our written consent, or misrepresent yourself as affiliated with FBEE;
  • Infringe our intellectual property or that of third parties.

We may suspend or terminate access for violation of this section.

8. Intellectual Property

All content on the Site — text, graphics, logos, product photography, video, page design, and code — is owned by or licensed to Shenzhen Yaoxin Technology Co., Ltd. and protected by copyright, trademark, and other laws. The FBEE name and logo are our trademarks. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written permission, except for personal, non-commercial use (e.g., sharing a product page link).

9. User Content

If you submit reviews, photos, comments, or other content, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, adapt, and display that content in connection with our products and marketing, with no compensation to you. You represent that you own the content and that it does not violate anyone's rights. We may remove content at our discretion. We will not use your content in a way that suggests endorsement of unrelated products.

10. Disclaimers

THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that product descriptions are complete and current.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

11. Limitation of Liability

To the maximum extent permitted by law, Shenzhen Yaoxin Technology Co., Ltd. and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Site or products, even if advised of the possibility.

Our total aggregate liability for any claim relating to the Site or a product will not exceed the greater of (a) the amount you paid for the product giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Shenzhen Yaoxin Technology Co., Ltd. from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of law, or your infringement of a third party's rights.

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

13.2 Informal resolution first. Before filing a claim, email support@fbee.shop with a description of the dispute. We will try in good faith to resolve it within 30 days.

13.3 Binding arbitration. If informal resolution fails, you and FBEE agree that the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted by telephone, video conference, or written submission where those Rules permit. You and FBEE each waive the right to a jury trial and to participate in a class action. Either party may bring an individual claim in small-claims court instead.

13.4 Right to opt out. You may opt out of arbitration by emailing legal@fbee.shop within 30 days of first accepting these Terms, stating your name, order number, and intent to opt out. Opting out does not affect any other part of these Terms.

13.5 Nothing in this section prevents either party from seeking injunctive relief in court to protect intellectual property or prevent misuse.

14. Changes to These Terms

We may revise these Terms at any time. The revised version takes effect when posted, and the "Last updated" date will change. Changes do not retroactively affect orders already placed. Your continued use of the Site after changes are posted constitutes acceptance.

15. General

  • Entire agreement. These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, are the entire agreement between us regarding the Site.
  • Severability. If a provision is unenforceable, the remainder stays in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays caused by events beyond our reasonable control.
